YYForce Inc. enters ATM agreement to sell up to $20M of Class A Ordinary Shares

YYForce Inc. entered into an At The Market Sales Agreement with Spartan Capital Securities, LLC on October 5, 2026. Under the terms of the agreement, the company may offer and sell Class A Ordinary Shares from time to time at its sole discretion, up to an aggregate offering price of $20 million. The sales agent will receive a placement fee of 3.75% of gross proceeds plus certain expenses. The company is not obligated to make any sales, and no assurance can be given regarding the timing or amount of shares sold. This facility allows for flexible capital raising through existing trading markets.
