J-Star Holding Co. proposes 10-for-1 reverse split, increases authorized Class A shares to 940M and boosts Class B voting rights

YMATJ-Star Holding Co., Ltd.

J-Star Holding Co., Ltd. is seeking shareholder approval for a series of capital reorganization measures at an extraordinary general meeting on October 29, 2026. Key proposals include consolidating Class A and Class B ordinary shares on a ten-for-one basis to reduce the number of issued shares, increasing authorized share capital from US$300 million to US$2.5 billion by creating 880 million additional Class A shares, and reducing par value from US$2.50 to US$0.001 before final consolidation to US$0.01. The company also proposes increasing the voting rights of each Class B share from ten to fifty votes on all matters subject to vote at general meetings. These changes require separate class consents and are intended to restructure the capital base and governance framework.
