zSpace, Inc. announced its intention to voluntarily delist its common stock from The Nasdaq Capital Market and deregister it under Section 12(b) of the Securities Exchange Act of 1934. Trading on Nasdaq has been suspended since April 28, 2026, following a delisting determination that was upheld by a Nasdaq Hearings Panel in August 2026. The company plans to file Form 25 with the SEC around September 25, 2026, expecting delisting to become effective on October 5, 2026, and deregistration on December 24, 2026. Subsequently, zSpace intends to file Form 15 in early January 2027 to suspend remaining SEC reporting obligations. The decision was driven by the high costs of compliance relative to limited benefits given the trading suspension. zSpace, Inc. develops augmented and virtual reality hardware and software for educational institutions.
