Business Summary

Clinuvel operates as a global specialty pharmaceutical group focused on developing and commercializing treatments for patients with genetic, metabolic, systemic, and life-threatening, acute disorders, as well as healthcare solutions for specialized populations, positioning itself as a pioneer in photomedicine and melanocortin technology. The company's research and development have led to innovative treatments for patient populations with a clinical need for systemic photoprotection, DNA repair and repigmentation, all of whom currently lack therapeutic alternatives. The business objective is to establish an integrated pharmaceutical company specializing in numerous melanocortin drugs, including various formulations and delivery methods. The orphan drug space in which Clinuvel operates is characterized by regulatory exclusivity periods, with Clinuvel having secured orphan drug designations for SCENESSE® in the European Union in March 2008 and the U.S. in July 2008 , providing periods of market exclusivity after marketing authorization to establish a robust commercial infrastructure. The development and commercialization of product candidates is highly competitive, with major pharmaceutical companies and specialized biotechnology companies potentially developing product candidates and processes competitive with Clinuvel's product candidates, and major pharmaceutical companies often having substantially greater financial, technical, manufacturing, marketing, sales and supply resources and experience.

As of the date of this annual report, SCENESSE® is the only approved treatment specifically for adult patients with EPP worldwide, and therefore Clinuvel currently has no direct commercial competitors for selling drugs to treat adult EPP patients. Clinuvel is aware of one experimental product currently under review by the FDA which, if approved, may compete against SCENESSE®, and a second experimental product received a Complete Response Letter from the FDA rejecting its approval but may seek approval again in future. Clinuvel has created a portfolio of patents and trademarks across various jurisdictions and has utilized regulatory laws enabling market exclusivity that has enabled relatively strong IP protection. Clinuvel invested over a decade in building a deep understanding of EPP's clinical profile, optimizing dosing, demonstrating safety through extensive long-term follow-up, and navigating a complex multi-jurisdictional regulatory process. Clinuvel's orphan drug market exclusivity remains in place in the U.S. until October 2026 , while the lapse of its orphan drug exclusivity in Europe since October 2024 has not been followed by attempts from generics manufacturers to enter the market. Clinuvel has leveraged its early market entry to establish reimbursement and payor agreements in key markets, including Europe and the U.S., and over 100 national and local private insurers in the U.S. and the U.S. Department of Veterans Affairs are reimbursing SCENESSE® as of the date of this annual report .

Clinuvel generates revenue primarily through the distribution of its lead therapy SCENESSE® (afamelanotide 16mg), which is approved for commercial distribution in Europe, the U.S., Israel, Canada and Australia as the world's first, and currently only, systemic photoprotective drug for the prevention of phototoxicity (anaphylactoid reactions and burns) in adult patients with EPP. For the fiscal year ended June 30, 2026, Clinuvel generated revenues of $64.3 million from the distribution of SCENESSE® to treat EPP patients, which accounted for 100% of its total revenues for the period. For the fiscal years ended June 30, 2025 and 2024, Clinuvel generated revenues of $61.1 million and $57.9 million , respectively, from the distribution of SCENESSE® to treat EPP patients, which accounted for 100% of its total revenues for both periods. SCENESSE® revenues were primarily generated in North America and Europe (including Switzerland and the United Kingdom), with these revenues attributed to Clinuvel's entities in the U.S. and Ireland, respectively. Clinuvel operates with an integrated business model of undertaking the key functions of its business in-house, including formulation research and development, design and conduct of clinical studies, quality assurance activities, commercial distribution and importation, branding and marketing, rather than outsourcing to third parties. Clinuvel's direct distribution of SCENESSE® for EPP patients in Europe and the U.S. through trained and accredited centers has proven beneficial, contributing to higher margins and profit for its business.

Clinuvel's lead product SCENESSE® is distributed in major pharmaceutical markets within the U.S. and across the European Economic Area through its subsidiary in Ireland, which holds the European Marketing Authorization. Clinuvel cooperates and provides site training for existing hospitals and medical centers to establish a network of EPP Expert Centers in Europe and Specialty Centers in North America, employing a direct distribution model for SCENESSE® to be delivered to these centers to ensure appropriate use according to regulatory requirements, just-in-time delivery, consistent supply terms, and direct engagement with healthcare providers. As of the date of this annual report, Clinuvel has established a network of more than 100 trained and accredited centers in the U.S. , five in Canada , more than 20 in Europe and one each in Israel and Argentina . Clinuvel expanded this network to 120 trained and accredited centers in North America by the end of 2025 as a foundation for the prescription of SCENESSE®. In addition to SCENESSE®, Clinuvel is developing a melanocortin-based pharmaceutical product NEURACTHEL® (adrenocorticotropic hormone - ACTH) in multiple dosage forms for patients with neurological, endocrinological, and degenerative disorders. Clinuvel has estimated the total addressable global market for its NEURACTHEL® products to be US$150 million per annum . Clinuvel is also developing platform products including liquid injectable controlled-release doses for melanocortin delivery, with the first of these platforms, the liquid injectable VLRX-L, entering a preclinical study in early 2026 . In September 2026, Clinuvel announced that it had completed the development of ZEROKIN TM, a proprietary single-use administration device for subcutaneous drug delivery .

During the period, Clinuvel advanced its clinical development programs, including CUV105, its first late-stage (Phase III) study of SCENESSE® in vitiligo, which has enrolled 210 adult and adolescent patients with darker skin types (Fitzpatrick III-VI) across trial sites in the U.S., UK, France, and Kenya, with topline results anticipated to be announced in December 2026 . In September 2022, Clinuvel submitted a formal application to the EMA to expand the approved indication for SCENESSE® to include adolescent patients aged 12-17 years , which was withdrawn due to the EMA's opinion on the benefit-risk profile for adolescents. Clinuvel is preparing a new submission with additional data, including from a recently completed pharmacokinetic study in adolescent and adult EPP patients (CUV052), under which Clinuvel recruited 28 EPP patients (14 adults, 14 adolescents) in a single-arm open label study. In May 2024, Clinuvel entered into a strategic partnership agreement with rare disease specialists Valentech Pharma to introduce SCENESSE® as a treatment for EPP patients in Colombia , and in January 2025, Clinuvel signed an exclusive distribution agreement for SCENESSE® with Argentinian specialty pharmaceutical company Diligens Salud SA . Clinuvel has entered into a commercial agreement with one of its strategic suppliers for the scaled supply of ACTH and is working with its contract manufacturer to validate batches of NEURACTHEL® manufactured under cGMP and preparing a regulatory submission seeking marketing authorization in a first European jurisdiction, expected in the second half of 2026 . On August 27, 2026, Clinuvel announced that its Board of Directors is considering a transaction under which a foreign holding company would become the new parent company of the Clinuvel group by way of an Australian scheme of arrangement, with New HoldCo applying to list its shares directly on Nasdaq and Clinuvel's ordinary shares being removed from the official list of the ASX . In connection with the Proposed Transaction, Clinuvel is also establishing its new operational headquarters in the United States, effective from January 1, 2027 .

Clinuvel's net income for the fiscal year ended June 30, 2026 amounted to US$23.2 million . Clinuvel's net income for the fiscal years ended June 30, 2025 and 2024 amounted to US$23.1 million and US$23.3 million , respectively. Under its integrated business model, Clinuvel has consistently achieved positive revenue growth, net cash inflow, and profitability. As of the date of this annual report, 50,427,898 of Clinuvel's Ordinary Shares are issued and outstanding , among which 3,482,793 are in the form of ADSs .

Business Outlook

Clinuvel's growth strategy centers on enhancing its distribution network and expanding into new geographic markets. As SCENESSE® is the first and currently the only systemic photoprotective drug approved for the prevention of phototoxicity in adult patients with EPP in North America and Europe, increasing treatment access to EPP patients in these two markets is particularly important to Clinuvel's growth. Clinuvel expanded its network to 120 trained and accredited centers in North America by the end of 2025 as a foundation for the prescription of SCENESSE®, striving to facilitate access to SCENESSE® for more eligible EPP patients. To expand the network of trained and accredited centers in North America and in Europe, Clinuvel has invested in training and accrediting specialists to provide site training for existing hospitals and medical centers, with site training generally taking several hours for Clinuvel's training specialists to teach the physicians and medical team how to insert SCENESSE® into patients subcutaneously and ensure proper product handling within licensed pharmacies. In Australia, SCENESSE® was approved to be commercially distributed by the Australian Therapeutic Goods Administration in October 2020 , and although SCENESSE® is approved for commercial distribution in Australia, Clinuvel does not currently distribute it in Australia, with negotiations with the Australian government reimbursement body (PBAC) still ongoing. In Latin America, Clinuvel entered into a strategic partnership agreement with rare disease specialists Valentech Pharma in May 2024 to introduce SCENESSE® as a treatment for EPP patients in Colombia, and in January 2025 signed an exclusive distribution agreement for SCENESSE® with Argentinian specialty pharmaceutical company Diligens Salud SA. Argentina's Exception Regime for Access to Non-Registered Drugs, enacted in 2019 , allows companies to import products approved in other jurisdictions to treat patients with unmet needs and is expected to be used by Diligens to treat the first EPP patients in Argentina.

A second major growth vector is the expansion of Clinuvel's research and development capacities and therapeutic portfolio. Clinuvel aims to advance its Phase III clinical trial program for SCENESSE® for vitiligo, specifically in patients of darker skin complexion, hoping to demonstrate the safety of SCENESSE® with adjunct narrowband UVB phototherapy to improve the condition of patients of darker skin color. CUV105 has enrolled 210 adult and adolescent patients with darker skin types (Fitzpatrick III-VI) across trial sites in the U.S., UK, France, and Kenya, with topline results anticipated to be announced in December 2026 . Clinuvel is developing NEURACTHEL® (adrenocorticotropic hormone - ACTH) in multiple dosage forms for patients with neurological, endocrinological, and degenerative disorders such as infantile spasms and acute exacerbations of multiple sclerosis that lack alternative therapy. Clinuvel has estimated the total addressable global market for its NEURACTHEL® products to be US$150 million per annum . After the European submission, Clinuvel plans to further make a submission to the FDA. Further platform products including liquid injectable controlled-release doses for melanocortin delivery are under development in CLINUVEL's VALLAURIX RD&I Centre in Singapore, with the first of these platforms, the liquid injectable VLRX-L, entering a preclinical study in early 2026 . Based on results reported in August 2026 , Clinuvel has identified flexible liquid dose formulations which have demonstrated the greatest potential for further development, with further pre-clinical studies scheduled for early Q1 2027 and manufacturing scaleup now being scoped. In September 2026, Clinuvel announced that it had completed the development of ZEROKIN TM, a proprietary single-use administration device for subcutaneous drug delivery , intended as a Class II device which will require registration for human use with the FDA via the 510(k) pathway and an application for CE marking under the EU Medical Device Regulations.

Clinuvel's capital allocation priorities include continued investment in research and development programs, commercialization activities, regulatory initiatives, infrastructure, and other strategic growth opportunities. Clinuvel currently expects to fund these activities through a combination of existing cash resources and cash generated from operations. Clinuvel's future funding requirements will depend on a number of factors, including the level and timing of its expenditures, the performance of its existing commercial operations, the development and commercialization of additional products, regulatory developments and broader economic and market conditions. If Clinuvel's future earnings or operating cash flows are insufficient to fund its planned activities, it may need to obtain additional financing through equity or debt financings or other arrangements. Clinuvel's ability to access equity capital is subject to ASX Listing Rules 7.1 and 7.4, which provide that a company must not, without shareholder approval, issue or agree to issue any equity securities, or other securities with rights to conversion to equity, if such issue of securities, when aggregated with securities issued by the company during the previous 12-month period, would be an amount that would exceed 15% of the number of ordinary shares on issue at the commencement of the 12-month period, subject to certain adjustments and permitted exceptions.

Clinuvel's operational outlook includes maintaining an inventory buffer of the API in SCENESSE® due to the lead time required to synthesize and transport the API from Manufacturer A to Manufacturer B, and Clinuvel currently maintains more than four months' worth of supply at any given time . Clinuvel relies on its sole contract manufacturer in China, Manufacturer A, to synthesize afamelanotide, the active pharmaceutical ingredient in SCENESSE®, and coordinates the shipment of the API from Manufacturer A to Manufacturer B, its contract manufacturer in the U.S., for further processes. The API is transported by air freight under temperature controlled conditions. Clinuvel expects to continue relying on Manufacturer A in the next five years . Clinuvel's executive management team is highly experienced, with six out of nine executives having been with Clinuvel for more than 10 years , and an average tenure of 13 years for the core executive team .

Clinuvel faces structural headwinds including the expiration of its orphan drug market exclusivity periods. Clinuvel's orphan drug market exclusivity remains in place in the U.S. until October 2026 , while the lapse of its orphan drug exclusivity in Europe since October 2024 has not been followed by attempts from generics manufacturers to enter the market. Certain of Clinuvel's patents related to the method for treatment of photodermatoses, pertaining to afamelanotide, will expire in 2027 . As a result of the expiration of these patents, other companies are, subject to Clinuvel's other patents, no longer restricted in their ability to develop products utilizing the expired patented subject matter in the applicable jurisdictions, which could include products that compete with SCENESSE®. Clinuvel is aware of one experimental product currently under review by the FDA which, if approved, may compete against SCENESSE®, and a second experimental product received a Complete Response Letter from the FDA rejecting its approval but may seek approval again in future. Clinuvel's business is subject to inherent risks relating to product liability and personal injury claims, and the current insurance policies Clinuvel maintains may not provide adequate levels of coverage against all claims.

Clinuvel faces execution risks related to its CUV105 vitiligo trial. Negative or worse-than-expected topline results from the CUV105 vitiligo trial could materially and adversely affect Clinuvel's vitiligo development program, future growth prospects and the trading price of its securities. Clinuvel's vitiligo program, including the design of the planned pivotal CUV107 study and its broader growth and diversification strategy, is substantially dependent on the outcome of CUV105. If the CUV105 results are negative, inconclusive, or otherwise materially worse than expected, Clinuvel may be required to delay, significantly modify or discontinue its vitiligo development program, including the planned CUV107 study, and may not be able to pursue marketing authorization for SCENESSE® in vitiligo in Europe, the U.S. or other jurisdictions on the timeline it currently anticipates, or at all. CUV105 does not directly affect Clinuvel's existing SCENESSE® business in the treatment of EPP, and Clinuvel does not expect a negative or inconclusive CUV105 result to have a material adverse effect on its current revenue or financial position.

Risk Factors

Clinuvel faces material risks specific to its business model and current situation. Negative or worse-than-expected topline results from the CUV105 vitiligo trial, which has enrolled 210 adult and adolescent patients with topline results anticipated in December 2026 , could materially and adversely affect Clinuvel's vitiligo development program, future growth prospects and the trading price of its securities, and could lead Clinuvel to delay, substantially modify or discontinue its vitiligo development program, including the design and timing of the planned CUV107 study. Clinuvel relies on one manufacturer, Manufacturer A, in China to synthesize the API in SCENESSE®, and Clinuvel currently maintains more than four months' worth of supply of the API at any given time , exposing it to risks relating to long-distance transportation, inventory obsolescence, and potential supply chain disruptions. A significant portion of Clinuvel's total revenue was derived from orders from certain trained and accredited hospitals and medical centers, with two centers contributing 26% of total revenues in fiscal 2026, three centers contributing 31% in fiscal 2025, and two centers contributing 24% in fiscal 2024, meaning loss of business from these major centers may have a significant negative impact. The expiration of Clinuvel's orphan drug market exclusivity in the U.S. in October 2026 and the expiration of certain patents related to the method for treatment of photodermatoses in 2027 may encourage generic competitors to enter the market. Clinuvel may not complete the proposed Transaction on the terms or timeline currently anticipated, or at all, and even if completed, may fail to realize its anticipated benefits while incurring significant transaction costs and management distraction regardless of outcome.

Management Priorities

Management's message to shareholders emphasizes Clinuvel's position as a global specialty pharmaceutical group focused on developing and commercializing treatments for patients with genetic, metabolic, systemic, and life-threatening, acute disorders, and its integrated business model of undertaking key functions in-house to increase value. Management highlights that Clinuvel has consistently achieved positive revenue growth, net cash inflow, and profitability under this model, with net income for the fiscal year ended June 30, 2026 amounting to US$23.2 million , compared to US$23.1 million for fiscal 2025 and US$23.3 million for fiscal 2024. The strategic priorities management has chosen to emphasize for the period ahead include enhancing the distribution network and expanding into new geographic markets, growing research and development capacities to broaden the therapeutic portfolio, and advancing the proposed Transaction to establish a new holding company listed on Nasdaq with a new operational headquarters in the United States effective from January 1, 2027 . Management notes that the proposed Transaction reflects the increasing significance of Clinuvel's current and future operations in the United States, and believes the proposed Nasdaq listing could increase Clinuvel's attractiveness to a broader U.S. investor base, improve its access to capital markets, and align its corporate structure with industry peers. Management also emphasizes the advancement of CUV105, Clinuvel's first late-stage (Phase III) study of SCENESSE® in vitiligo, which has enrolled 210 adult and adolescent patients with darker skin types (Fitzpatrick III-VI), with topline results anticipated to be announced in December 2026 . Management highlights the development of NEURACTHEL® and the estimated total addressable global market for its NEURACTHEL® products of US$150 million per annum , as well as the completion of development of ZEROKIN TM, a proprietary single-use administration device for subcutaneous drug delivery .
