Alcoa Corporation priced a $2.6 billion offering of senior notes to finance the cash portion of its acquisition of South32 Limited’s bauxite, alumina, and aluminum assets. The issuance consists of $1.5 billion in 6.625% Senior Notes due 2034, issued by Alumina Pty Ltd, and $1.1 billion in 6.875% Senior Notes due 2036, issued by Alcoa Nederland Holding B.V., both wholly-owned subsidiaries guaranteed by Alcoa. The sale is expected to close on September 23, 2026, with proceeds used alongside cash on hand to fund the approximately $3.1 billion acquisition consideration and pay related fees. This transaction represents a significant strategic expansion for Alcoa Corporation, a global leader in alumina and aluminum products.
