Aegon shareholders approve proposed redomiciliation to Delaware and rename to Transamerica Inc

Shareholders at an extraordinary general meeting approved a proposal to redomesticate Aegon Ltd. from Bermuda to Delaware as a public company under the name Transamerica Inc., effective January 1, 2028. The approval also authorized governance changes including the termination of the voting rights agreement with Vereniging Aegon and the adoption of an Omnibus Incentive Plan granting 50 million shares for US-style equity compensation starting in 2027. Following completion, the company will transition to US GAAP reporting and become a domestic issuer subject to US insurance supervision. The insurer operates in the life insurance and retirement services sector.
