Aegon shareholders approve redomiciliation to U.S., renaming to Transamerica Inc

Shareholders approved a proposal to redomesticate Aegon from Bermuda to Delaware, with the legal transition expected on or about January 1, 2028. The company will rename to Transamerica Inc., move its headquarters to New York City, and align governance with U.S. standards. Concurrently, shareholders authorized an exchange of common shares held by Vereniging Aegon on a 40-to-1 basis effective October 15, 2026, reducing authorized share capital from €720 million to €504 million. An omnibus incentive plan reserving 50 million shares was also approved for implementation on January 1, 2027. Aegon Ltd. operates in the global life insurance and retirement industry.
