Ithaca agrees to acquire Bumble for $1.3B, paying $6.05 per share in cash

BMBLBumble Inc.

Ithaca Holdings entered into a definitive Agreement and Plan of Merger to acquire Bumble Inc. in an all-cash transaction valued at approximately $1.3 billion. Under the terms, holders of Class A common stock will receive $6.05 per share, representing a 138% premium to the unaffected closing price on October 9, 2026. The Board unanimously approved the deal following a recommendation by an independent Special Committee. Shareholder approval was secured via written consent from Principal Stockholders, eliminating the need for a formal vote at a meeting. The transaction is subject to customary closing conditions, including HSR antitrust clearance and regulatory approvals, with no financing condition attached. Ithaca plans to take Bumble private, with its Co-CEOs set to assume leadership roles while Founder Whitney Wolfe Herd remains involved. Bumble Inc. operates digital platforms for dating, friendship, and professional networking.
