Byrna Technologies Inc. entered into an Asset Purchase Agreement on July 7, 2026, to acquire the assets of HERO Defense Systems, LLC for an aggregate purchase price of $1,250,000. The consideration consists of $625,000 in cash and $625,000 in restricted shares of common stock, plus a 3.5% royalty on net sales of specified products. A $125,000 cash portion will be held in escrow for 18 months to secure indemnification obligations. Byrna Technologies Inc. develops and sells less-lethal defense products.
