On August 12, 2026, Riley McCormack resigned from the Board of Directors of Digimarc Corporation, effective immediately. The resignation was made in accordance with a Subscription Agreement dated September 29, 2020, between the Company and TCM Strategic Partners L.P. On the same date, the Board elected Paul Carreiro to fill the vacancy created by Mr. McCormack's departure. Mr. Carreiro will serve until the next annual meeting of shareholders. As an executive officer of the Company, he will not serve on any Board committees nor receive additional compensation for his director service.
