EnerSys agrees to acquire Ultralife for $16.00 per share in cash, valuing the deal at approximately $320 million

ENSEnerSys

EnerSys entered into a definitive Agreement and Plan of Merger to acquire Ultralife Corporation through a two-step transaction consisting of a tender offer followed by a merger. EnerSys will pay $16.00 per share in cash, representing an enterprise value of approximately $320 million and a 166% premium to Ultralife’s unaffected closing price. The transaction is expected to close in the first quarter of 2027, subject to customary conditions including regulatory approvals and the tender of at least a majority of shares. EnerSys plans to fund the acquisition with cash on hand and expects to realize $15 million to $20 million in annual run-rate cost synergies within 18 months. EnerSys is a global leader in stored energy solutions for industrial, infrastructure, and defense applications.
