Evogene reaches cooperation agreement with Pure Capital Group to reconstitute Board of Directors

Evogene Ltd. entered into a cooperation agreement with L.I.A. Pure Capital Ltd. and Invest Pro Shukai Hon Ltd. to resolve outstanding differences, resulting in the appointment of Dr. Adi Zuluf-Shani and Mr. Oz Adler as directors. The parties agreed to withdraw a threatened special tender offer and implement a 60-day standstill period for both sides. A special general meeting is scheduled for November 10, 2026, where shareholders will vote on the election of four additional shareholder nominees and approve the agreement itself. Evogene operates in the computational biology and life sciences industry.
