GoPro, Inc. announced a definitive merger agreement with Action Acquisitions LLC and its subsidiary Starman Optical, Inc., under which GoPro will merge into the subsidiary as a wholly owned subsidiary of Parent while remaining publicly listed on Nasdaq. Shareholders will receive an aggregate cash payment of $285 million, or $1.14 per share, subject to net working capital adjustments, and will retain approximately 10% ownership in the combined entity. The transaction includes the full repayment of GoPro's outstanding debt of approximately $92 million at closing. Starman’s U.S.-made optical transceivers will be added to GoPro’s portfolio, expanding its capabilities into AI data center infrastructure, government, defense, and aerospace markets. The deal received board approval from both companies and is expected to close by year-end 2026, pending stockholder and regulatory approvals. GoPro operates in the consumer electronics industry, specializing in wearable cameras and imaging solutions.
