iSpecimen completes $4.5M acquisition of Foldlab AI assets for cash and stock

iSpecimen Inc. completed the acquisition of artificial intelligence software, models, source code, data rights, and intellectual property from Foldlab AI Ltd. on November 2, 2026. The aggregate purchase price was $4.5 million, consisting of $750,000 in cash paid at closing, two milestone payments of $625,000 each payable upon delivery and acceptance of the products, and 2,907,977 shares of common stock valued at $2.5 million. The issued shares are subject to a five-year lock-up with no leak-out and a voting rights agreement granting iSpecimen an irrevocable proxy for specific corporate actions. Foldlab acquired approximately 53.6% of the outstanding shares as partial consideration, though no change in board composition or executive officers occurred. iSpecimen operates an online global marketplace connecting scientists who need biospecimens for medical research with a network of healthcare specimen providers.
