Maison Solutions Inc. entered into a Formation, Subscription and Software Contribution Agreement on July 22, 2026, to establish Maison AI Limited, a new Hong Kong-incorporated subsidiary focused on developing and commercializing AI software for grocery retail and supply-chain applications. Maison Solutions will contribute its Drem merchandise-display system and WSYQR supply-chain system to the new entity at an agreed value of $2,000,000, retaining a perpetual, non-exclusive, royalty-free license for internal use. Maison Solutions' subsidiary, AZLL LLC, will acquire 200 ordinary shares (approximately 90.09% ownership) in exchange for the software contribution. Two cash subscribers, Hangzhou Shengxianbao Technology Co., Ltd. and Yiwu Yanghan E-Commerce Firm, will each subscribe for 11 ordinary shares (approximately 4.96% each) for $110,000 in cash, payable in six monthly installments beginning September 1, 2026. The transaction closes upon customary conditions, including incorporation and shareholder agreement execution, with a termination deadline of March 31, 2027.
