Craig Conway not standing for re-election to Nutanix Board; Tarkan Maner appointed senior advisor

Director Craig Conway notified the company on October 5, 2026, that he will not stand for re-election at the upcoming annual meeting. He will remain on the board until then and his departure is unrelated to any disagreements regarding operations or policies. Separately, former President and Chief Commercial Officer Tarkan Maner entered into a twelve-month Transition Advisory Services Agreement effective October 7, 2026. Under this arrangement, Maner serves as a senior advisor for $37,500 per month without severance or equity acceleration. Nutanix provides enterprise cloud computing software and infrastructure solutions.
