Ondas Inc. completed the acquisition of Gate Technologies Ltd. and Bron Technologies for a total consideration of $205 million, consisting of $105 million in cash and approximately $100 million in common stock, plus a working capital adjustment. The transaction includes up to $185 million in contingent earn-out payments tied to financial milestones through 2028. Ondas expects the acquired business to generate more than $130 million of aggregate Adjusted EBITDA over that period and approximately $65 million in revenue for full-year 2026. The company also granted inducement stock options to 41 newly hired employees.
