Regeneron grants up to 2.9M PSUs to CEO and CSO tied to $30B revenue target

REGNRegeneron Pharmaceuticals, Inc.

Regeneron Pharmaceuticals granted one-time performance share unit (PSU) awards to CEO Leonard S. Schleifer and CSO George D. Yancopoulos, replacing annual equity grants through 2036. The ten-year performance period ends December 31, 2035, with a mandatory holding period until February 2036. Maximum earnouts are capped at 2,700,000 PSUs for the CEO and 2,900,000 for the CSO. Payouts depend on new product filings, approvals, and generating up to $30 billion in annual revenues from new products, adjusted by a relative TSR modifier against the NASDAQ Biotechnology Index. The company also formed a nominal-value subsidiary for potential non-core opportunities, granting equity stakes to both executives. Regeneron Pharmaceuticals is a biopharmaceutical company focused on discovering, developing, and commercializing medicines.
