RXORXO, Inc.
C.H. Robinson Worldwide has entered into a definitive merger agreement to acquire RXO, Inc., an asset-light transportation solutions provider, in a transaction valued at approximately $5.8 billion. Under the terms of the deal, RXO shareholders may elect to receive either all-cash consideration of $30.25 per share or standard mixed consideration consisting of $17.25 in cash and 0.0856 shares of C.H. Robinson common stock for each RXO share held. The transaction is expected to close in the first half of 2027, subject to customary closing conditions including regulatory approvals and shareholder consent. C.H. Robinson intends to finance the acquisition through a combination of new debt issuances and cash on hand, supported by a $4.5 billion bridge facility commitment from Morgan Stanley. The combined entity is projected to generate $300 million in net run-rate cost synergies within two years post-close.
