XCF Global’s Board of Directors has decided not to proceed with the previously announced reverse stock split and is discontinuing the related proxy solicitation. Consequently, the company cancelled its Special Meeting of Stockholders scheduled for November 9, 2026. The decision follows shareholder feedback and a strategic shift toward business execution, financial results, and long-term value creation rather than listing compliance maneuvers. The withdrawal does not resolve the company's noncompliance with Nasdaq’s $1.00 minimum bid price requirement; XCF has until December 7, 2026, to regain compliance or face potential delisting. The company will instead focus on increasing fuel production and shipments, expanding customer relationships, and integrating its recent acquisitions of DevvStream and Southern Energy Renewables. XCF Global is a U.S.-based producer of renewable diesel and sustainable aviation fuel.
