Sigma Lithium prices $125M convertible bonds due 2031, upsized by 25%

SGMLSigma Lithium Corp

Sigma Lithium priced a US$125 million offering of senior unsecured convertible bonds due in November 2031. The transaction was upsized by 25% from the initial launch size of US$100 million. The bonds carry a fixed coupon of 7.00% per annum and mature in five years, with an investor put option available after three years. Conversion is set at a price of US$6.51 per share, representing a 25% premium to the reference price of US$5.21 on November 2, 2026. Net proceeds will be used to fully repay the existing Senior Secured Debt with Synergy Capital, thereby extending the maturity profile from June 2027 to 2031 and replacing floating rate interest costs with fixed payments. The company operates in the lithium mining sector, producing industrial-mineral lithium oxide concentrate.
