Silgan Holdings Inc. announced a proposed transaction to create Silgan Metal Containers and Closures (MCC), a partnership with American Industrial Partners (AIP) that will acquire Trivium Packaging B.V. for an enterprise value of approximately $3.4 billion. Silgan will contribute its Metal Containers segment and Food and Beverage Flat Cap Closures businesses, valued at $3.8 billion, to the new entity in exchange for approximately $2.3 billion in cash proceeds and a 60% controlling ownership interest. AIP will contribute $1.0 billion in equity capital and hold the remaining 40% stake. The all-cash acquisition of Trivium is expected to close mid-2027, subject to regulatory approvals. Silgan expects at least 15% accretion to adjusted EPS and free cash flow by year three, driven by $225 million in synergies. Silgan will retain 100% ownership of its Dispensing Solutions business, which will be combined into a new segment.
