On August 1, 2026, Supernus Pharmaceuticals entered into a definitive merger agreement with Indivior Pharmaceuticals to combine in a tax-free all-stock transaction valued as a merger of equals. Upon closing, Supernus shareholders will receive 1.5401 shares of Indivior stock for each share held, resulting in an ownership split where Indivior stockholders own approximately 56.5% and Supernus stockholders own 43.5% of the combined entity, which will retain the name Supernus, Inc. and ticker symbol SUPN. The transaction includes a $1 billion special cash dividend for Indivior shareholders, funded by a $650 million senior secured term loan from Citibank and existing cash reserves. Jack A. Khattar will serve as CEO of the combined company, with Tony Kingsley as Board Chair. Expected annual cost synergies total $125 million against pro forma net revenues of $2.2 billion. The deal is subject to stockholder approvals, regulatory clearance including Hart-Scott-Rodino, and customary closing conditions, with a target close in the fourth quarter of 2026. Supernus Pharmaceuticals operates in the biopharmaceutical industry, developing and commercializing treatments for central nervous system diseases.
