Tadaa Capital agrees to acquire Malaysian hotel operator PRSB for RM2.4M via TGL escrow shares

Treasure Global Inc.'s affiliate, Tadaa Capital Sdn. Bhd., entered into a Shares Sale Agreement on October 16, 2026, to acquire 100% of Platinum Recognition Sdn. Bhd. (PRSB) from four individual vendors for RM2,400,000. The transaction involves an initial deposit and the issuance of Treasure Global common stock to an escrow agent, which will be sold after a six-month restriction period to fund the remaining balance. Completion is subject to conditions including the execution of an Escrow Agreement and confirmation of no material adverse change in PRSB's operations. This acquisition expands Treasure Global Inc.'s portfolio into the Malaysian budget hotel industry.
