Wendy's rejects Trian-led group's $7.35 per share proposal and adopts a shareholder rights plan
WENWendy's Co
The Wendy’s Company rejected an unsolicited, non-binding proposal from Trian Partners, Flynn Group LP, BlueFive Capital, and Sixth Street Partners to acquire all outstanding common shares not currently owned by the Investor Group for $7.35 per share in cash. The Board determined the offer substantially undervalues the company and does not reflect expected value creation under its "Dave’s Way" strategic plan. In response, the Board adopted a limited-duration shareholder rights plan (poison pill) effective November 4, 2026, declaring one preferred share purchase right for each outstanding common share to stockholders of record on November 16, 2026. The Rights Agreement triggers if any person or group acquires 15% or more of the company without Board approval, allowing shareholders to purchase additional shares at a discount. The rights plan expires on November 3, 2027. Wendy's operates a global quick-service restaurant system specializing in hamburgers and related menu items.
