WISeKey International Holding Ltd announced that its wholly owned subsidiary, WISeKey BVI, filed a Form F-4 registration statement with the SEC on July 16, 2026, to facilitate a proposed redomiciliation from Switzerland to the British Virgin Islands. The transaction involves a merger of WISeKey with and into WISeKey BVI, with the BVI entity surviving as the publicly traded parent company. An extraordinary general meeting to vote on the merger is expected to be held on September 9, 2026.
