Amanat Acquisition Corp and Corxel Pharmaceuticals have entered into a definitive business combination agreement, expected to close in the first half of 2027. The transaction includes a concurrent private investment in public equity (PIPE) financing with aggregate commitments of $300 million from institutional investors. Combined gross proceeds are estimated at approximately $377 million, assuming no shareholder redemptions and including funds from Amanat's trust account. Corxel, a clinical-stage biopharmaceutical company focused on oral obesity therapies, will become a wholly owned subsidiary of the combined public entity.
