AmpliTech Group amended its Asset Purchase Agreement with Titan Crest LLC, reducing the aggregate purchase price by $1 million to $7 million while retaining all rights and claims. The company reported over $17 million in completed 5G ORAN shipments and a current backlog of approximately $17 million. Management expects 2026 revenue to exceed FY2025 levels, though timing shifts with Asian customers limit near-term visibility. Margins are projected to improve beginning in 2027 as the initial market-entry phase concludes, with positive EBITDA expected by fiscal year 2027. AmpliTech is also responding to a significant RFP from a Tier-1 telecommunications infrastructure provider that could represent tens of millions in value. The company designs, develops and manufactures advanced signal-processing components for satellite, Public and Private 5G communications networks, including complete 5G/6G systems.

AmpliTech Group entered into Amendment No. 2 to its Asset Purchase Agreement with Titan Crest, LLC due to Titan's substantial delinquency in delivering products and documentation for 5G ORAN radio technology. The amendment reduced the aggregate purchase price from $8,000,000 to $7,000,000. The remaining $2,000,000 balance will be paid upon transfer of the design package as $1,000,000 in cash and $1,000,000 in restricted common stock valued at the 30-day volume-weighted average price. Titan was released from most covenants while its affiliate assumed obligations. AmpliTech Group operates in the telecommunications equipment industry, specifically developing radio access network technology.
