Embraer S.A. has filed a manual and management proposal calling an Extraordinary General Shareholders’ Meeting on October 30, 2026, to vote on the merger of its wholly-owned subsidiary, Embraer GPX Ltda., into the parent company. The transaction involves absorbing GPX’s net equity at book value, appraised by Forvis Mazars at R$10,584,362.50 as of June 30, 2026. Because Embraer holds 100% of GPX’s capital stock, the merger will not result in an increase in capital stock or the issuance of new shares. The merger is expected to become effective on October 31, 2026, subject to shareholder approval. Embraer S.A. designs, builds and markets aircraft, equipment, materials, systems, software, accessories and components for the aerospace, defense, security, energy and other industries.

Embraer S.A. announced that Mr. Maurício Augusto Silveira de Medeiros resigned from its Board of Directors, effective September 1, 2026. Appointed by the Brazilian Federal Government as the holder of the Golden Share, his departure triggers an automatic succession clause in the Company's Bylaws. Alternate board member Walcyr Josué de Castilho Araújo will assume the vacant position until the next Annual Shareholders' Meeting. This governance change reflects routine administrative adjustments to board composition rather than a strategic shift or executive leadership transition at the operational level. Embraer S.A. is a Brazilian aerospace company that manufactures commercial, military, executive and agricultural aircraft.
