The Tribunal of Milan issued an interim order suspending the execution of shareholder resolutions regarding the appointment of Genenta Science's Board of Directors. The ruling stems from litigation by minority shareholders challenging the admission of voting rights for former A.T.C. S.r.l. shareholders and the application of enhanced loyalty voting rights during the June 29, 2026 meeting. Consequently, the previous board members have resumed office with full authority under Italian prorogatio rules, while newly appointed directors Francesco Dagnino and Riccardo Palmisano have ceased serving. Genenta Science intends to appeal the decision, maintaining that the election outcome would remain unchanged even if disputed votes were counted. The company will continue operations under the oversight of the reinstated board pending further judicial developments.

Genenta Science S.p.A. received a notification from Nasdaq indicating its American Depositary Shares failed to maintain a closing bid price above $1.00 for 30 consecutive business days between September 3 and October 15, 2026. The company has been granted an initial compliance period of 180 calendar days, ending April 14, 2027, to regain adherence to the minimum bid price requirement. Nasdaq stated the notification does not immediately affect the listing or trading of the ADSs on the Nasdaq Capital Market. To address the deficiency, Genenta may implement a previously approved reverse stock split with a ratio between one-for-ten and one-for-twenty, though no specific effective date has been set. The company operates as a strategic consolidator focused on specialized companies in Italian national security-regulated sectors, including cybersecurity, defense, aerospace, and biotechnology.

Genenta Science shareholders voted on a proposal to amend the company's by-laws and change its corporate name from Genenta Science S.p.A. to Saentra Forge S.p.A. Although 49.395% of total voting rights were in favor, the proposal failed because Italian law requires more than 50% of total voting rights for approval on a first call. The company's registered legal name remains unchanged. Despite this outcome, management stated it continues to pursue its strategic transition into an industrial consolidator focused on acquiring businesses in aerospace, defense, and biotechnology sectors.

The Court of Milan denied an application for interim relief brought by certain minority shareholders challenging the capital increase approved by Genenta Science S.p.A.'s Board of Directors on May 18, 2026. This capital increase was conducted in connection with the Company's acquisition of A.T.C. S.r.l. (ATC). As a result, the capital increase and the issuance of shares related to the ATC acquisition remain effective pending proceedings on the merits. The Court concluded that plaintiffs did not establish unequivocal elements of unlawfulness sufficient to warrant suspension. The underlying civil action remains pending. Genenta Science S.p.A. operates in the biotechnology sector, focusing on the development of therapies for rare diseases.
