Micropolis AI Robotics extended the maturity date of a $5,430,000 convertible promissory note held by Streeterville Capital from October 21, 2026 to January 21, 2027. The amendment waived any default triggered by non-payment on the original due date and required no additional fees or consideration. Separately, the company partitioned $10,000 of the note principal into a new convertible promissory note and exchanged it for 24,509 ordinary shares at an effective price of $0.408 per share. The transaction was executed under Section 3(a)(9) of the Securities Act of 1933 and is treated as an issuance of conversion shares rather than a dilutive equity offering.
