Pinnacle Financial Partners, Inc. (PNFP-PA)
Business Summary
Pinnacle Financial Partners is a financial holding company headquartered in Nashville, Tennessee, with approximately $57.7 billion in total assets as of December 31, 2025. The firm started operations on October 27, 2000, in Nashville, Tennessee, and, as of December 31, 2025, had grown through a combination of acquisitions and organic growth to 141 offices from which it conducts branch banking operations, including 50 in Tennessee, 42 in North Carolina, 21 in South Carolina, 10 in Virginia, five in Georgia, six in Alabama, three in Kentucky, two in Maryland and two in Florida. The firm is the No. 1 bank in the Nashville-Murfreesboro-Franklin MSA according to June 30, 2025 deposit data from the Federal Deposit Insurance Corporation (FDIC). Pinnacle Financial aims to operate as a community bank in several primarily urban markets across the Southeast region of the United States.
The firm faces substantial competition from national, large regional and internet banks, smaller community banks, savings and loans associations, credit unions, finance companies, brokerage firms, insurance companies, and other financial intermediaries. Lending by debt-focused private equity firms has continued to increase. The financial services industry is becoming even more competitive as a result of legislative, regulatory and technological changes and continued consolidation. Many competitors are larger and have more financial resources, and nonbank competitors have fewer regulatory constraints and may have lower cost structures. Pinnacle Financial believes the most important criteria to its bank's targeted clients when selecting a bank is their desire to receive exceptional and personal service from financial professionals they know and trust, and being able to enjoy convenient access to a broad array of financial products offered by a financial institution with an ability to meet the changing needs of a sophisticated client base.
Pinnacle Financial provides a full range of banking, investment, trust, mortgage and insurance products and services designed for businesses and their owners and individuals interested in a comprehensive relationship with their financial institution. The company generates revenue primarily through net interest income, which is the difference between interest income earned on loans and investment securities and other interest-earning assets and interest expense paid on deposits, other borrowings, subordinated debentures and subordinated notes. Noninterest income is composed of service charges on deposit accounts, investment services, insurance sales commissions, gains on mortgage loans sold, investment gains and losses on sales, trust fees, income from equity method investment, and other noninterest income including interchange and other consumer fees, bank-owned life insurance, loan swap fees, SBA loan sales, and income from other equity investments.
Lending services include a full range of lending products, including commercial, real estate and consumer loans to individuals, businesses and professional entities. At December 31, 2025, Pinnacle Bank has internal loan limits ranging from $15 million to $100 million, dependent upon the internal risk rating of a loan. Through subsidiary Advocate Capital, the firm makes loans to law firms to finance case expenses and the firms' working capital needs. Through subsidiary JB&B Capital, the firm originates commercial equipment loans and leases. During 2022, the firm added two specialty lending groups: franchise lending and equipment lease financing. Deposit services include savings, noninterest-bearing checking, interest-bearing checking, money market and certificate of deposit accounts, including access to products offered through IntraFi Network Deposit and other niche-based deposit programs. Pinnacle Bank acts as a depository for many state and local governments, government agencies, education systems and power and utility organizations.
Investment, trust and insurance services are offered through a contract with Raymond James Financial Services, Inc. (RJFS) to offer and sell various securities and other financial products. Pinnacle Bank also provides fiduciary and investment services through its Trust & Investment Services department, offering personal trust, investment management, estate administration, endowments, foundations, individual retirement accounts, escrow services and custody. Miller Loughry Beach Insurance Services, Inc. and HPB Insurance Group, Inc., insurance agency subsidiaries of Pinnacle Bank, provide insurance products, particularly in the property and casualty area. Advocap Insurance Agency, Inc., an insurance agency subsidiary of Advocate Capital, sells insurance products including professional liability, cyber protection, directors and officers, errors and omissions and life insurance. PNFP Capital Markets, Inc., a subsidiary of Pinnacle Bank, is a broker-dealer offering merger and acquisition advisory services, public and private debt, equity and mezzanine placement services and other selected middle-market advisory services. Beginning in 2024, PNFP Capital Markets, Inc. expanded its activities to include participating in underwritten public offerings of debt and equity securities.
On July 24, 2025, Pinnacle Financial entered into a Merger Agreement with Synovus Financial Corp. and Steel Newco Inc. Pursuant to the Merger Agreement, Pinnacle Financial and Synovus each simultaneously merged with and into New Pinnacle, with New Pinnacle continuing as the surviving corporation. In connection with the Merger, each share of Synovus Common Stock was converted into the right to receive 0.5237 shares of New Pinnacle Common Stock, and each share of Legacy Pinnacle Common Stock was converted into the right to receive one share of New Pinnacle Common Stock. The Merger was consummated on January 1, 2026. During 2025, Pinnacle Financial repurchased no shares of its common stock under its share repurchase program. On January 21, 2025, the board of directors increased the dividend to $0.24 per share from $0.22 per share. During the year ended December 31, 2025, Pinnacle Financial paid $74.7 million in net dividends to its common shareholders and $15.2 million in dividends on its Series B Preferred Stock.
Net income for 2025 was $641.9 million compared to $475.1 million in 2024. Net income available to common shareholders for 2025 was $626.7 million compared to $459.9 million in 2024. Fully-diluted net income per common share was $8.07 for 2025 compared to $5.96 for 2024. Net interest income increased to $1.5 billion for 2025 compared to $1.4 billion for 2024. The net interest margin for 2025 was 3.24% compared to 3.16% for 2024. Noninterest income for 2025 increased by $135.4 million, or 36.5%, to $506.6 million from $371.2 million. Noninterest expense for 2025 increased $132.8 million, or 12.8%, to $1.2 billion from $1.0 billion. The efficiency ratio was 56.8% and 59.6% for the years ended December 31, 2025 and 2024, respectively.
Business Outlook & Financial Sufficiency
Pinnacle Financial's management expects that short-term interest rates will continue to decline during 2026, and that the firm's ability to lower the rates it pays on deposits will be critical to its ability to maintain or slow any potential decline in its net interest margin, as loan pricing in a falling rate environment would be competitive and existing fixed rate loans may be refinanced at lower interest rates. Management anticipates that the firm will primarily focus on organically growing its business during 2026, though it may evaluate merger and acquisition opportunities that are presented in its current markets as well as other select markets throughout the southern portion of the United States.
A key growth vector is the continued expansion into new geographic markets. In 2021, the firm expanded its operations into Alabama and the Washington, D.C. area, and more recently has expanded into Kentucky and Florida. The combination with Synovus further expands the firm's presence throughout many markets in the Southeast. The firm also continues to deploy a hiring strategy focused on attracting experienced financial services professionals as new team members who can bring customer relationships from other financial institutions. The firm expects to continue to pursue this strategy following its combination with Synovus. Another growth vector is the expansion of specialty lending groups, including franchise lending and equipment lease financing, which remain an important focus of loan growth plans. The firm also expects to continue to grow its wealth management businesses by hiring more revenue producers across the firm, particularly in areas of its most recent market extensions.
The firm's efficiency ratio was 56.8% for the year ended December 31, 2025. Noninterest expense for 2025 included $21.7 million in merger-related expenses associated with the Merger with Synovus. Equipment and occupancy costs increased $29.3 million, or 17.6%, for 2025 compared to 2024, negatively impacted by the overall growth in infrastructure, construction and operation of 13 additional locations throughout the footprint since January 1, 2024, the relocation of headquarters to a new location in downtown Nashville during the first quarter of 2025, and the implementation of new technology. Marketing and business development expense for 2025 increased $10.7 million, or 40.1%, compared to 2024 primarily as a result of the partnership with The Pinnacle music venue, which opened in March 2025.
As of December 31, 2025, the firm employed 3,709.0 full-time equivalent team members, up from 3,565.5 full-time equivalent team members at December 31, 2024. The firm expects to continue to incur costs associated with planned technology improvements to enhance the infrastructure of the firm. Expansion of locations, including non-branch locations, is expected to increase over an extended period of time across the footprint, including the markets to which the firm has recently expanded, and certain locations will be in need of required renovations.
On January 21, 2025, Pinnacle Financial's board of directors authorized a share repurchase program for up to $125.0 million of its common stock, which commenced upon the expiration of the prior program and expired upon the consummation of the Merger. During 2025, Pinnacle Financial repurchased no shares of its common stock under such share repurchase program. On January 21, 2025, the board of directors increased the dividend to $0.24 per share from $0.22 per share. During the year ended December 31, 2025, Pinnacle Financial paid $74.7 million in net dividends to its common shareholders and $15.2 million of dividends on the Legacy Pinnacle Series B Preferred Stock.
The firm faces structural headwinds from the possibility that short-term interest rates will continue to fall during 2026, as anticipated, which could compress net interest margin if the firm is unable to lower deposit rates in a timely manner. The firm also faces execution risks related to its ability to retain key personnel, including key personnel of the businesses it has acquired or combined with, like Synovus, or to continue to attract experienced lenders with established books of business. The firm's ability to grow its loan portfolio may be limited by economic conditions, competition within its market areas, the timing of loan repayments, its ability to grow core deposits, and its ability to hire and retain experienced bankers. The firm's operations are principally geographically concentrated in certain markets in the southeastern United States, and changes in local economic conditions could impact profitability.
Management Sentiments & Priorities
Management's message emphasizes that the firm's unique culture and resulting high levels of associate engagement and retention rates allow it to be better than competitors in meeting the needs of clients. Management believes that the focus on culture is a winning business strategy, as evidenced by workplace awards and financial returns. The strategic priorities for the period ahead include focusing on organic growth, successfully integrating the combination with Synovus, and continuing to attract experienced financial services professionals. Management also highlights the importance of growing core deposits and managing interest rate risk in a declining rate environment.

Risk Factors
The firm's net interest margin and net earnings are significantly affected by interest rate levels, and changes in interest rates could materially and adversely affect net income, net interest income, asset quality, loan origination volume, liquidity, and overall profitability. The firm has a concentration of credit exposure to borrowers in certain industries, including commercial and residential building lessors, developers of multifamily residential real estate projects, new home builders and music publishers, and targets small to medium-sized businesses that may carry increased levels of credit risk. At December 31, 2025, commercial and industrial loans accounted for approximately 41.8% of total loans. The firm's ability to grow its loan portfolio may be limited by economic conditions, competition, the timing of loan repayments, and the ability to grow core deposits. BHG's results of operations are a meaningful portion of the firm's results, and adverse events affecting BHG, including its ability to sell loans or retain loans on its balance sheet, could significantly impact results. The firm may not realize all of the anticipated benefits from its recent combination with Synovus, and integrating operations may be more difficult, costly, or time-consuming than expected.
