Research Alliance Corporation III (RACC) entered into a definitive business combination agreement with OHB Pediatrics Ltd. (d/b/a Oak Hill Bio) to acquire 100% of the company's capital. The transaction, expected to close by year-end 2026, involves RACC redomesticating to Delaware and renaming itself Oak Hill Bio, Inc. The deal provides Oak Hill Bio with approximately $175 million in gross proceeds, comprising $75 million from RACC's trust account and a $100 million private financing, including a $45 million SAFE investment. The combined entity will trade on the Nasdaq under the ticker "OAKH". RACC also entered into a backstop agreement with RA Capital Healthcare Fund, L.P. for up to $75 million to cover potential shareholder redemptions. RACC is a special purpose acquisition company (SPAC) focused on life sciences.
