Ting Fiber, an indirect wholly owned subsidiary of Tucows Inc., entered into a Novation Agreement to assign its Dark Fiber Network Lease with Colorado Springs Utilities to Google Fiber Colorado, LLC. The transaction is expected to close on March 31, 2027, subject to customary conditions including the absence of uncured breaches and material adverse changes. Following closing and post-closing obligations by April 2027, Tucows' $322.8 million Parent Guaranty will terminate. Ting will continue serving customers through June 30, 2027. Tucows operates in domain services, communications technology, and fiber-optic infrastructure.
Tucows Inc. entered into a Third Amendment to its Credit Agreement on July 27, 2026, extending the maturity date of lenders' commitments from September 22, 2027, to July 27, 2029, while maintaining key pricing and financial covenants. The amendment also approves a $3 million acquisition of Series A Preferred Units in Ting Fiber, LLC, a $5 million loan to Ting Fiber, and financing for a $6 million data center purchase from Ting Fiber. These transactions resolve a previously declared Return Breach involving preferred units valued at approximately $150 million, allowing the preferred member to withdraw default notices and waive related remedies. Tucows operates in the technology sector, providing domain name registration services, cloud communications platforms, and internet infrastructure solutions.
