WaFd, Inc. entered into a definitive merger agreement with EverBank Financial Corp on September 6, 2026, under which EverBank will merge into WaFd, with WaFd surviving and changing its name to EverBank Financial Corp. The transaction is valued at approximately $3.9 billion, with EverBank designated as the accounting acquirer. Existing EverBank shareholders will receive WaFd common stock in exchange for their shares, resulting in an ownership split of approximately 59.2% for former EverBank holders and 40.8% for former WaFd holders on a fully diluted basis. The combined entity is expected to have $75 billion in assets. Greg Seibly will serve as CEO and Brent Beardall as President of the surviving company, with Robert Radway as Chairman. The deal requires regulatory approvals and shareholder approval from WaFd, with EverBank shareholders having already approved the transaction via written consent. WaFd, Inc. operates as a bank holding company providing commercial banking services.
