Within the Performance Chemicals segment, the markets are highly fragmented, and the Company experiences substantial competition from a large number of multinational and specialty chemical suppliers. The Fuel Specialties segment is generally characterized by a small number of competitors, none of which hold a dominant position. The Oilfield Services segment is very fragmented, with a small number of very large competitors and a large number of smaller players focused on specific technologies or regions.
In the Performance Chemicals segment, the Company supplies a superior, diverse product portfolio which solves customer problems or enhances the performance of new or existing products, and in a number of specialty chemicals markets, also supplies niche product lines where it enjoys market-leading positions. In the Fuel Specialties segment, the Company considers its competitive edge to be its proven technical development capacity, independence from major oil companies and strong long-term customer relationships, and believes it remains the world's only producer of tetra ethyl lead for use in aviation gasoline, marketed as its AvGas product line. In the Oilfield Services segment, the Company's competitive strength is its proven technology, broad regional coverage and strong customer relationships. In 2025 and 2024, net sales to any single customer did not exceed 10% of the group's net sales. In 2023, the Company had a significant customer in the Oilfield Services segment which accounted for $265.2 million 1 and 13.6% 2 of the group's net sales.
The Company generates revenue through the sale of specialty chemical products across three reportable segments: Performance Chemicals, Fuel Specialties, and Oilfield Services. Revenue is transactional in nature, derived from product sales to customers including large multinational companies, manufacturers of personal care and home care products, global mining, agriculture and building products and other industrial companies, national and multinational oil companies, fuel marketers and retailers, fuel terminals, marine lines, coating and plastics producers and other heavy industrial end-users, and multinational public and independent exploration & production and oilfield services companies. The Company's strategy is to develop new and improved products and technologies to strengthen and increase market positions within its segments, and it actively continues to assess potential strategic acquisitions, partnerships and other opportunities that would enhance and expand its customer offering.
The Performance Chemicals segment provides innovative technology-based solutions for customers' processes or products in personal care, home care, agrochemical, construction, mining and other industrial markets. This segment has grown through acquisitions, together with the organic development and marketing of innovative products within these end-markets. In 2025, Performance Chemicals net sales were $681.4 million 3, gross profit was $122.0 million 4, and operating income was $61.0 million 5. The Fuel Specialties segment develops, manufactures, blends, markets and supplies a range of specialty chemical products used as additives in diesel, jet, marine, fuel oil and other fuels, helping improve fuel efficiency, boost engine performance and reduce harmful emissions. The segment has grown organically through development of new products to address increased demand for fuel, focus on fuel economy, compatibility of renewable fuels, higher efficiency engine technologies and legislative developments. In 2025, Fuel Specialties net sales were $701.5 million 6, gross profit was $252.2 million 7, and operating income was $144.8 million 8. The Oilfield Services segment develops and markets chemical solutions for drilling, completion, production, DRA and oil and gas applications. Business Outlook
Entering 2026, management's focus is unchanged, with a priority on delivering exceptional innovation, value and service to global customers across all end-markets, and continuing to prioritize margin and operating income improvement in Performance Chemicals and Oilfield Services. In both segments, management expects these actions to drive growth in 2026. In addition, management expects Fuel Specialties to continue to deliver consistent results. With a net cash position at over $292.5 million 32, management states the Company continues to have significant balance sheet flexibility for M&A, dividend growth, organic investment and buybacks in 2026.
In Performance Chemicals, management expects the continued expansion of the industry-leading sulfate and 1,4-dioxane free personal and home care portfolio and growth in technologies for agriculture, mining, construction and other diversified industrial markets to drive further growth in 2026. In Fuel Specialties, the business has a diverse pipeline of fuel and non-fuel growth opportunities across all regions, and technology will continue to focus on cleaner fuels, lowering emissions and improving efficiency in traditional, renewable and non-fuel applications. In Oilfield Services, management remains focused on delivering operating income growth in 2026 as Middle East activity returns, sales from the recent DRA expansion take effect, and the focus on margin improvement continues. Management currently does not expect Latin America production activity to resume in 2026.
In Performance Chemicals, margin actions began to take effect in the third quarter of 2025, and together with lower overheads drove sequential improvement in the fourth quarter. Delivering sustainable margin improvement remains the primary focus of the business team, with execution on a range of price/cost management, productivity and new product commercialization actions over the short-to-medium term.
The Company is currently in the process of developing and implementing a new, company-wide, information system platform. The implementation is a phased, risk-managed, site deployment following a multistage user acceptance program with the existing platforms providing a fallback position. In 2025 and 2024, the Company implemented the new platform for a number of its sites across EMEA, ASPAC and the Americas. The successful implementation of the project plan, through to completion, involves significant cost to the business, involving external implementation partners and the dedication of internal employee resources.
Expenditures to support research and development services were $51.0 million 33, $56.5 million 34 and $49.0 million 35 in 2025, 2024 and 2023, respectively. Capital commitments at December 31, 2025 amounted to $55.0 million 36, with $46.9 million 37 due in 2026. Internally developed software commitments were $4.2 million 38, all due in 2026. The Company paid dividends of $1.71 per share 39 in 2025, a 10% increase over the prior year. The Company bought back 264 thousand 40 shares at a cost of $23.9 million 41 in 2025.
In Performance Chemicals, full year revenues were up 4 percent on the prior year; however, margins declined on higher costs, price management and weaker product mix. In Oilfield Services, full year revenues were down 19 percent on the prior year, and operating income decreased 40 percent driven by no recovery in the Latin American business and lower than expected Middle East and US completion activity in the second half of 2025. The Company currently does not expect Latin America production activity to resume in 2026.
Risk Factors
The Company faces significant risks from the potential elimination of lead emissions from general aviation in the U.S. by the end of 2030, with Alaska having a derogation out to end 2032, and EU REACH Authorization permitting continued TEL use until end of April 2032, which could adversely impact future operating income and cash flows from the AvGas product line. Trends in oil and gas prices directly affect the level of exploration, development and production activity of customers in the Oilfield Services business, and any prolonged reduction in oil and gas prices could have a material adverse impact on results. Sharp and unexpected fluctuations in the cost of raw materials, many derived from petrochemical-based and vegetable-based feedstocks, could adversely affect profit margins if cost increases cannot be passed on to customers. The Company is exposed to fluctuations in foreign currency exchange rates, primarily with the E.U. euro, British pound sterling and Brazilian real, which affect recorded levels of assets, liabilities, results of operations and cash flows. A high concentration of stockholders, with approximately 37% 42 of common stock held by three stockholders, could result in a significant decline in stock price if a substantial stockholder decides to sell all or a significant part of its holding.
Management Priorities
Management's message to shareholders describes 2025 as a mixed set of results, with continued strong operating income growth and margin expansion in Fuel Specialties offsetting lower results in Performance Chemicals and Oilfield Services. Management states that delivering sustainable margin improvement remains the primary focus of the Performance Chemicals business team, and that they expect combined efforts of price/cost management, productivity and new product commercialization to drive further growth in 2026. In Fuel Specialties, management notes the business has continued to deliver consistently strong results and has a diverse pipeline of fuel and non-fuel growth opportunities. In Oilfield Services, management states they remain focused on delivering operating income growth in 2026 as Middle East activity returns, sales from the recent DRA expansion take effect, and the focus on margin improvement continues. Management also notes the Company continues to have significant balance sheet flexibility for M&A, dividend growth, organic investment and buybacks in 2026.
