Clearway Energy agrees to acquire Swan Solar for $230M to develop 650MW Missouri facility

On September 23, 2026, Clearway Energy, Inc. entered into a Membership Interest Purchase Agreement to acquire Swan Solar LLC for approximately $230 million in cash. The transaction involves purchasing membership interests in Swan TargetCo LLC from Swan CE Seller LLC, an affiliate of Clearway Energy Group LLC. Swan Solar is developing and constructing a 650-megawatt solar photovoltaic generating facility in Bates County, Missouri. Closing is expected during the third quarter of 2028, subject to customary conditions. Clearway Energy operates in the renewable energy sector, owning and operating wind, solar, and storage assets.
