Shares are priced at $5.00 for USD, USDT, or USD Coin subscriptions, and $6.00 for RAIN token subscriptions, representing premiums of 17.4% and 40.8% over the July 27 closing price. The investor initially elected to fund the purchase with RAIN tokens. The transaction includes a demand registration right allowing Enlivex to require the purchase of an additional $400 million over 36 months.
