Tribunal of Milan suspends Genenta Science board election results, reinstating prior directors

The Tribunal of Milan issued an interim order suspending the execution of shareholder resolutions regarding the appointment of Genenta Science's Board of Directors. The ruling stems from litigation by minority shareholders challenging the admission of voting rights for former A.T.C. S.r.l. shareholders and the application of enhanced loyalty voting rights during the June 29, 2026 meeting. Consequently, the previous board members have resumed office with full authority under Italian prorogatio rules, while newly appointed directors Francesco Dagnino and Riccardo Palmisano have ceased serving. Genenta Science intends to appeal the decision, maintaining that the election outcome would remain unchanged even if disputed votes were counted. The company will continue operations under the oversight of the reinstated board pending further judicial developments.
