Group 1 Automotive entered into a Stockholder Agreement with Conifer Management on September 21, 2026. The Board agreed to increase its size from ten to eleven members and appoint Benjamin Hart as the new director effective November 1, 2026. Under the agreement, Conifer will vote its shares in accordance with Board recommendations during a support period extending until late 2029, subject to maintaining at least 5% ownership. Conifer is bound by standstill restrictions, including a cap on beneficial ownership at 19%. Group 1 operates automotive dealerships and collision centers.
