Nomadar Corp. entered into an Equity Purchase Agreement to acquire a majority interest in Fox Soccer Academy, a youth soccer organization operating academies in New York, North Carolina, the United Kingdom, and Austria. The transaction involves a base cash payment of $2 million, deferred payments totaling $2.6 million, and a contingent earnout of up to $1.5 million based on net income performance over four seasons. Nomadar will also issue equity interests valued at approximately $1.3 million in shares and membership units to the sellers. The deal strengthens Nomadar’s international youth soccer development platform by integrating Fox Soccer Academy’s Premier League-inspired curriculum with its existing Spanish football methodology. Nomadar Corp. operates at the intersection of sports, tourism, technology, health, and experiential infrastructure.
