RedHill Biopharma Ltd. announced the divestment of its Talicia business to a subsidiary of Apotex Health Corp. for an upfront payment of $18 million plus up to $35 million in potential worldwide net sales milestone payments. The transaction involves RedHill selling its 70% interest in Talicia Holdings Inc., while Apotex retains the remaining 30% acquired from Cumberland Pharmaceuticals. RedHill entered into a five-year non-compete covenant and a six-month Transition Services Agreement with an option to extend for three months. This strategic move aims to generate immediate capital, strengthen liquidity, and fund future commercial expansion in gastrointestinal diseases, infectious diseases, and oncology.
