Shareholders approved the company's de-registration in the Cayman Islands and its continuation in the State of Florida. Following this, the adoption of new Articles of Incorporation and Bylaws was approved. Additionally, Class A directors Anne Louise Carricarte, Luis Fernando Castro Vergara, and Carlos Alfredo Cure were elected, and PwC Contadores y Auditores S. A. S. was ratified as the independent registered public accounting firm for the 2026 fiscal year. The corporate continuation and charter adoption are expected to be completed in July 2026.
