Energy Fuels Inc. completed the acquisition of all ordinary shares of Australian Strategic Materials Limited (ASM) through its wholly owned subsidiary, EFR Critical Materials Pty Ltd. Under the Scheme Implementation Deed dated January 21, 2026, ASM shareholders received consideration consisting of 0.053 Energy Fuels common shares or CHESS Depositary Interests and AUS$0.13 in cash for each ASM share held as of August 21, 2026. The total transaction value was approximately US$243.4 million, comprising US$217.2 million in equity issued (14,808,572 new shares) and US$26.2 million in cash. ASM option holders received A$0.50 per option under a concurrent scheme of arrangement. Energy Fuels Inc. operates in the uranium mining industry.
