Archer Aviation Inc. entered into a definitive Equity Purchase Agreement with The Boeing Company to acquire Wisk Aero LLC, SkyGrid LLC, and Insitu, Inc., along with related entities. In exchange for these assets, Archer will issue shares representing 19.75% of its outstanding Class A common stock at closing, plus two warrants exercisable for $100 million each at strike prices of $13.00 and $17.88 per share. Boeing receives a board seat while holding at least 10% ownership and agrees to a 12-month lock-up on the consideration shares. The transaction adds Insitu’s profitable defense business, generating over $200 million in annual revenue across 35 countries, to Archer's portfolio. Closing is subject to HSR antitrust clearance and other customary conditions, with an expected completion by the end of 2026.
