Appoints Clive G. Brookes as independent director and chairman of all board committees

Agassi Sports Entertainment Corp.'s Board of Directors increased its size to three members and appointed Clive G. Brookes, an independent director with over 25 years in Canadian capital markets and public company management, as a board member and Chairman of the Audit, Nominating and Corporate Governance, and Compensation Committees. The Board also adopted charters for these committees, indemnification agreements for directors and officers, a Code of Ethical Business Conduct, an insider trading policy, and a clawback policy for erroneously awarded incentive-based compensation to comply with SEC Rule 10D-1.
