Genenta Science S.p.A. completed the acquisition of the remaining 80.5% equity ownership in A.T.C. S.r.l. from Marco Spiga, Mattia Berardinetti, and Gioacchino Specchi on May 29, 2026. The aggregate purchase price of Euro 9,604,076.82 was paid via a set-off against the subscription of 24,625,838 ordinary shares issued to the A.T.C. shareholders at Euro 0.39 per share. These shares are subject to a 36-month lock-up period and include specific put and call options based on the volume-weighted average price of the shares.
